These Underground Site Terms (the “Underground”) include the policy for acceptable use of the Underground and Content posted on the Underground and set forth your rights, obligations and restrictions regarding use of the Underground. The Underground Terms are in addition to and work concurrently with the Alpine Electronics of America, Inc. (“Alpine”) Site Terms (Click to Read). By using the Underground, you signify your agreement to be bound by both the Site Terms and the Underground Terms (together, the “Terms”) whether you are simply browsing the Underground or otherwise use the Underground without being registered or you have registered with the Underground, including contest Entrants. The term “User” refers to both registered and non-registered site visitors. Users of the Underground represent and warrant that (a) all information submitted is truthful and accurate; (b) you will maintain the accuracy of such information; (c) your use of the Underground does not violate any applicable law or regulation; (d) you are authorized to bind yourself or any entity on whose behalf you represent while using the Underground; and (e) . Alpine reserves the right, at its discretion, to change, modify, add, or remove portions of these Terms at any time. Please check the Terms periodically for any changes. Your continued use of this web site following the posting of changes to the Terms will mean you accept those changes.
Registration on the Underground is void where prohibited. The Underground is intended solely for Users who are thirteen (13) years of age or older, and Users of the Underground. Any registration by, use of or access to the Underground by anyone under 13 is unauthorized, unlicensed and in violation of these Underground Terms. By using the Underground you represent and warrant that you are 13 or older and that you agree to and to abide by all of the terms and conditions of this Agreement.
Proprietary Rights in Content on the Underground.
Alpine does not claim any ownership rights in the text, files, images, videos, photos, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you submit to the Underground. After submitting your Content to the Underground, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By submitting any Content on or through the Underground, you hereby grant to Alpine and its affiliated companies a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely in connection with Alpine’s promotion of mobile electronic products, including advertising, publicity, and training purposes.
This license allows Alpine to format technical requirements and allow Users to listen to submitted Content. The license is non-exclusive fully-paid and royalty-free, sublicensable, and worldwide. This license will terminate at the time you remove your Content from the Underground. The license does not grant Alpine the right to operate as an agent for you or promote your Content for the purpose of receiving compensation or financial gain from its distribution.
You represent and warrant that: (i) you own the Content submitted by you to the Underground or otherwise have the right to grant the license set forth in the Underground Site Terms, and (ii) the submission of the Content on or through the Underground does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content submitted by you to or through the Underground.
Alpine may reject, refuse to post or delete any Content for any or no reason, including Content in the sole judgment of Alpine violates the Terms or which may be offensive, illegal or violate the rights of any person or entity, or harm or threaten the safety of any person or entity. Alpine assumes no responsibility for monitoring the Underground. If at any time Alpine chooses, in its sole discretion, to monitor the Underground, Alpine assumes no responsibility for the Content, no obligation to modify or remove inappropriate Content, and not responsibility for the conduct of the User submitting any such Content.
The following is a partial list of the kind of Content that is prohibited to post on or through the Underground. Alpine reserves the right to take appropriate action against anyone who, in Alpine's sole discretion, violates this provision. Prohibited Content includes, but is not limited to Content that, in the sole discretion of Alpine:
The Underground contains Content of Users and other Underground licensors. Except as provided in the Terms, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the Underground. You may use Content for noncommercial purposes, personal enjoyment, networking and sharing. You may not use Content in a manner that exceeds the rights granted for your use of the Content You may not circumvent any mechanisms included in the Content for preventing the unauthorized reproduction or distribution of the Content.
You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of Alpine to immediately terminate access and posting privileges of any User who infringes the copyright rights of others upon receipt of proper notification to Alpine by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on the Underground in a way that constitutes copyright infringement, please provide the Site Administrator with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) your address, telephone number, and email address; (iv) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (v) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
