AGREEMENT TO OFFICAL RULES: By participating in the Alpine Rock the Dash Contest (the" Contest"), each Participant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Contest. The individual artist or band submitting Content is referred to as an "Entrant"; participants who wish to vote are referred to as "Voters"; Entrants and Voters are referred to as a "Participant"). Registration is free and available for all Participants at http://www.alpine-usa.com (the "Contest Site").

WHO MAY ENTER: The Contest is open to legal residents of the 50 United States and the District of Columbia and Canada excluding Quebec, who are 18 years of age or older with Internet access at the time of Entry. Only Entrants logging onto the Internet from within the 50 United States and the District of Columbia and Canada excluding Quebec are eligible to enter the Contest. You may not participate if you are not a legal U.S. or Canadian resident and physically located within the US or Canada at the time of Entry. Employees of Sponsor are NOT ELIGIBLE to participate in the Contest as an Entrant. All federal, state and local laws and regulations apply.

CONTEST DATES: The Contest begins at 1:00 p.m. Pacific Standard Time ("PST") on April 14, 2009 and ends at 11:59:59 p.m. PST on July 28, 2009 (the "Contest Period"). All Entries and votes must be received by 11:59:59 p.m. PST on July 28, 2009. Any entries and votes not received within this Contest Period will be disqualified.

HOW TO ENTER: Visit the Alpine Underground at http://www.alpine-usa.com and follow the links and instructions for official Entry. An official Contest Entry is the registration and submission of a minimum of one (1) original song, up to a maximum of five (5) original songs ("Entry"). Limit: one (1) Contest Entry per individual artist or band. Band Entrants must designate one (1) representative band member to submit the Contest Entry on the band's behalf ("Band Designee"). Band Entrants agree and acknowledge that the Band Designee: (1) is authorized to submit an Entry on the band's behalf; (2) accepts responsibility for accurate representation of his or her band; and (3) is responsible for any issues that may arise from participation in this Contest. Band Designees must identify each band members at time of Entry. Each valid Entry will be displayed on the Contest Site, viewable by public, and eligible to receive votes. Incomplete, multiple, invalid or duplicate entry submissions will be disqualified. Entries are only accepted online and must be received during the Contest Period. Entries to the Underground between March 16, 2009 and July 28, 2009, will be deemed to have been received during the Contest Period and will be listed in alphabetical order with no votes. The Entrant must use a valid email address during registration. The authorized account holder of the email address used to submit the Entry will be deemed the Entrant responsible for the Entry. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

CONTENT SUBMISSION GUIDELINES: The submitted Content must meet the following guidelines:

Each Song must be .mp3 format

Each Song file should not exceed a file size of 6 MB

Each Entry including all Content must be suitable for display and publication in all forms of media, including but not limited to the Internet, the World Wide Web, print, radio, and network, cable or satellite television broadcast. Accordingly, Content submissions must be dignified, modest and in good taste, may not be obscene or indecent, including but not limited to profanity, must not contain any offensive or defamatory statements including but not limited to words and symbols that might be considered offensive to individuals of any race, ethnicity, religion, sexual orientation or socioeconomic group, must not include threats to any person, place, business, group or world peace, it must not invade privacy or other rights of any person, firm or entity, must not include any third party trademarks or copyrighted materials, including brand names, logos, text or other similar materials, it must not portray Sponsor or Sponsor's brands or products in any way that might tend to subject any of them to public contempt, scandal, disrepute or ridicule, and it must not in any other way violate any applicable laws, rules or regulations or network standards. Sponsor reserves the right to make determinations of suitability in its sole and absolute discretion, and to remove and disqualify any Entry it determines to be inappropriate for any of the reasons listed above, or for any other reason at Sponsor's sole discretion.

CONTENT USE: Sponsor does not claim any ownership rights in the text, files, musical works, works of authorship, artworks or any other materials ("Content") that Entrant submits to the Underground related to the Contest. By submitting Content, Entrant hereby grants to Sponsor and its affiliated companies a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute the Content solely in connection with Sponsor's sale of mobile electronic products, including advertising, publicity, promotion and training purposes. Sponsor shall not operate as an agent of Entrant or promote the Content for the purpose of receiving remuneration from its distribution.

HOW TO VOTE: Visit the Alpine Underground at http://www.alpine-usa.com and follow the links and instructions for voting. Register, listen, and vote for your favorite Entrant on the Contest Site. Unregistered Voters will be allowed to cast one (1) vote per day for the Entrant they feel has demonstrated the most talent to their liking during the Contest Period. Registered Voters will be allowed to cast two (2) votes per day for the Entrant they feel has demonstrated the most talent to their liking during the Contest Period. Registration is free and available at http://www.alpine-usa.com Voting using assistance or tools of any kind including mechanical, form filling or other software or robotic or automated assistance with regard to all or any part of the voting process is not allowed and will void such vote attempts by such methods. Entrants are eligible to vote for their own song submission.

WINNER SELECTION: Votes for the same Entry will be accumulated as "Total Votes" for that Entrant. Total Votes tallied at the end of the Contest Period will determine the three (3) highest ranked Entrants with the most Total Votes as winners. In addition, a random drawing will be held by the Sponsor at the end of the Contest Period to select one (1) random Entry. The top three (3) Entries ranked with the highest number of Total Votes and one (1) random Entry selected at the end of the Contest Period will be deemed as "Winners".

A random drawing for Voters will also be hosted at the end of every calendar month during the Contest Period, totaling four (4) random drawings. During each drawing, the Sponsor will randomly select five (5) registered Voters, who will be declared as "Random Voter of the Month" winner(s).

Winners will be declared by Sponsor on or about July 29, 2009 (the "Declaration Date"). The odds of winning depend on the eligible Entries received and number of votes. Entrants must comply with all terms and condition of these Official Rules, the Underground Terms and the Site Terms, as winning is contingent upon fulfilling all Contest requirements.

TOTAL PRIZES AND VALUES:

For Entrants:

The Entry that receives the highest number of Total Votes will be declared the Grand Prize Winner. The Entries with the second and third highest Total Votes will be declared the Second Prize Winners and Third Prize Winners respectively. A tie will be broken by a vote from a panel of Sponsor judges based on the same criteria used in the public voting process. The Entry that is chosen at random by the Sponsor will be declared the "Random Artist Winners".

For Voters:

One registered Voter will be selected by the Sponsor each month (from April 2009 through July2009) and be declared the Random Voter of the Month winner. Four registered voters will be selected by the Sponsor each month (from April 2009 through July 2009) and be declared the Second Place Random Voter of the Month Winner(s). Prizes consist of only those items specifically listed as part of the Prize. No substitution or election of cash in lieu of Prize is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered Prize is unavailable at the discretion of Sponsor. All federal, state and local taxes, installation, and any other fees or expenses associated with any prize are the sole responsibility of the winner. All prizes are non-transferable. All Prize Winners must sign income tax and any other required documents within ten (10) days of attempted notification or the Prize may be forfeited and an alternate winner may be selected. The following "Prizes" will be awarded (Total Prize Value up to US$16,060)

  • PRIZE NOTIFICATION: The Sponsor will attempt to notify each Winner by e-mail or telephone on or about the Declaration Date. If Sponsor is unable to contact any Winner, or if any notification is returned as undeliverable, for any reason beyond Sponsor's control, the Winner will be disqualified, Winner's prize shall be forfeited, and a substitute Winner may be selected under Sponsor's discretion.

    PRIZE DELIVERY: Allow 4-8 weeks from the Declaration Date for delivery of prizes, estimated between July 31, 2009 and September 30, 2009. Prizes will be shipped out to the address specified in registration unless otherwise indicated by Winner before shipment. Sponsor assumes no responsibility for lost, late, damaged, misdirected, illegible, incomplete or delayed shipment of prizes or incorrect postal addresses. The Band Designee will receive all prizes on behalf of their winning band. It is the Band Designee's responsibility to distribute the prizing amongst the band members. Sponsor and its agency assume no responsibility for the distribution and allocation of prizing amongst individual band members.

    PUBLICITY CONSENT: As a condition of Entry, all Entrants grant to the Sponsor the right to use Entrant's name, and other biographical information, photograph, likeness, voice, statements and/or image, as well as Entrants' Content for advertising, publicity, promotion and training purposes without territorial, time or use limitations, including without limitation online announcements, without additional compensation unless prohibited by law.

    GENERAL CONDITIONS: The Contest will be governed by these rules and subject to the laws of the United States and Canada. All federal, state and local laws and regulations apply. Void where prohibited by law. By participating in this Contest, the Entrant and/or Voter agrees that they have no right to bring (and covenants and agrees not to bring) any claim, action, or proceeding of any kind or nature whatsoever against Sponsor and its parent company, affiliated companies, subsidiaries, divisions, advertising and promotion agencies, Prize providers, and all of their respective agents, employees, directors, officers, shareholders, successors and assigns (collectively "Releasees") in connection with the Contest. By entering and/or accepting prizes, Entrants agree to be bound by the Official Rules and the Sponsor's decisions and to release all Releasees from any and all liability, loss, injury, or damage of any kind arising out of or in connection with their participation in the Contest or with the respect to awarding, receipt, possession, use and/or misuse of any prize or participation in any prize-related activities. Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. Sponsor reserves the right at its sole discretion, to disqualify any individual who (i) tampers with, or attempts to tamper with, the entry/voting process; or (ii) violates any of the Official Rules.

    INTERNET: Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries/votes. Sponsor and/or Releasees are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry/vote to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to computers, Entrant's/Voter's or any other person's computer or any other property, relating to or resulting from participation in the Contest or downloading any materials in the Contest. Sponsor is not responsible for any typographical or other errors in the printing of the offer, administration of the Contest or the announcement of the prizes, or for lost, late, misdirected, damaged, incomplete or illegal Entries.

    PRIVACY POLICY: Any personal information supplied by you to the Underground is subject to Sponsor's privacy policy posted at http://www.alpine-usa.com/US-en/terms/termsofuse.php Unless prohibited by Sponsor's privacy policy or by law, by entering the Contest, you grant Sponsor permission to share your email address and any other personally identifiable information with Contest Entities for the sole purpose of Contest administration, vote tallying and prize fulfillment. Alpine will not sell, rent, transfer or otherwise disclose your personal data to any third party other than as explicitly described herein.

Requests received after August 30, 2009 will not be honored. This online Contest is sponsored by Alpine Electronics of America, Inc., located at 19145 Gramercy Place, Torrance, CA 90501 and Alpine Electronics of Canada, Inc., located at 777 Supertest Road, Toronto, Ontario M3J 2M9. All decisions of Alpine management in connection with this Contest are final and binding on Winners.
